Terms and conditions
Last updated: October 2026. This is a translation; the German version is legally binding.
§ 1 Scope
These terms apply to all contracts for the use of Coach Notebook between SFrankenberger GmbH, Vornholzstr. 53, 94036 Passau, Germany (the provider) and its customers. Coach Notebook is intended exclusively for businesses within the meaning of Section 14 of the German Civil Code, that is coaches, practices, schools and others acting in a professional or commercial capacity. The customer’s own terms only apply if the provider agrees to them in writing.
§ 2 Services
The provider makes Coach Notebook available as software over the internet (software as a service), with the customer as a separate tenant, on request under the customer’s own domain and branding. The exact scope, such as features, setup, migration of existing content and support from the assistant team, is set out in the individual offer. The provider continuously develops the software and may change it as long as the agreed core features remain.
Results of the AI features (summaries, drafts, suggestions) are suggestions. The customer checks them before using them or passing them on to others.
§ 3 Conclusion of contract and demo
The website does not constitute a binding offer. A contract is concluded when the customer accepts an individual offer from the provider in text form.
The demo access is free and non-binding. It is shared by all interested parties and reset every night. There is no entitlement to the availability of the demo.
§ 4 Prices and payment
The prices in the offer apply, plus statutory VAT. Recurring fees are payable in advance for the agreed period; invoices are due within 14 days without deduction. Fees charged by third-party services the customer uses (such as Stripe, Zoom, Vimeo) are borne by the customer under those providers’ terms.
§ 5 Term and termination
The term is set out in the offer. If nothing is agreed, the contract runs for an indefinite period and either party may terminate it in text form with one month’s notice to the end of a month. The right to terminate without notice for good cause remains unaffected.
After the contract ends, the customer can export their data or have it handed over for 30 days. The provider then deletes the data unless there is a legal obligation to retain it.
§ 6 Availability
The provider ensures high availability and backs up data hourly to a second location. Maintenance is carried out at quiet times where possible. The provider is not responsible for disruptions outside its control, such as on the internet or with third-party services.
§ 7 Customer obligations
- The customer keeps access credentials secret and reports any misuse without delay.
- The customer only uploads content they are entitled to use and does not break applicable law in doing so.
- The customer is the controller for their clients’ data under data protection law and obtains any consent required.
- Third-party accounts the customer connects are subject to those providers’ terms.
§ 8 Data protection and processing
Where the provider processes personal data on the customer’s behalf, the parties conclude a data processing agreement under Art. 28 GDPR. The data is stored on servers in Germany. The AI features use Claude by Anthropic through its business API; the content is not used for training.
§ 9 Rights to content
All content the customer uploads remains the customer’s property. The provider only uses it to deliver the agreed services. For the term of the contract the customer receives a simple, non-transferable right to use the software.
§ 10 Liability
The provider is liable without limitation for intent and gross negligence, for injury to life, body or health and under the German Product Liability Act. In cases of slight negligence the provider is only liable for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract. For loss of data the provider is only liable for the effort that would have been needed to restore it had proper backups been made.
§ 11 Changes to these terms
The provider may change these terms with effect for the future. It announces changes in text form at least six weeks in advance. If the customer does not object within this period, the changes are deemed accepted. The provider points out this consequence in the notice.
§ 12 Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Passau. If any provision is invalid, the rest of the contract remains in effect.
